Client Agreement & Engagement Terms

These Client Agreement & Engagement Terms govern the provision of legal document drafting, legal document review, contract services, and related legal support services provided by Tonnie Kariuki Law.
By engaging Tonnie Kariuki Law for services, you acknowledge and agree to these terms together with any specific terms contained in your quotation, service agreement, or engagement confirmation.
1. Scope of Services
Tonnie Kariuki Law provides professional legal drafting and review services, including:
- Contract drafting
- Contract review
- Legal document preparation
- Corporate and business documentation
- Investment and securities documentation
- Technology and online business documents
- Legal research and writing support
- Document revision services
The exact scope of work will be determined based on the client's instructions and the agreed engagement.
2. Engagement Acceptance
Submission of an inquiry, request for quotation, payment, or delivery of documents does not automatically create an attorney-client relationship.
An engagement begins only after:
- We confirm acceptance of the assignment.
- The scope of work has been agreed.
- Required payment arrangements have been completed.
- Any required engagement documentation has been accepted.
3. Client Responsibilities
Clients agree to:
- Provide complete and accurate information.
- Provide all relevant documents and instructions required for the assignment.
- Notify us of any changes affecting the legal document or matter.
- Review drafts carefully and provide timely feedback.
- Ensure that information supplied does not infringe third-party rights.
4. Legal Document Drafting Services
Drafted documents are prepared based on the information, instructions, and objectives provided by the client.
Clients remain responsible for reviewing documents before signing, executing, submitting, or relying upon them.
Where appropriate, clients should obtain jurisdiction-specific legal advice before entering significant transactions.
5. Document Review Services
Contract and document review services may include:
- Identification of legal risks
- Review of clauses and obligations
- Suggested amendments
- Plain-language explanations
- Negotiation support where agreed
A document review does not guarantee that all potential risks will be identified or that future disputes will not arise.
6. Fees and Payment
Fees are determined based on:
- Complexity of the matter
- Volume of documents
- Urgency of delivery
- Level of customization required
Work may begin after agreed payment arrangements have been completed.
Additional work outside the original scope may require additional fees.
7. Revisions and Amendments
Reasonable revisions related to the original instructions may be included depending on the agreed service package.
Changes resulting from new instructions, additional requirements, or changes in circumstances may be treated as additional work.
8. Delivery Times
Estimated delivery times depend on:
- Complexity of the assignment
- Client responsiveness
- Availability of required information
- Requested revisions
Delivery estimates are not guarantees unless expressly agreed in writing.
9. Confidentiality
Client information and documents are treated as confidential and are used only for purposes connected with providing requested services.
Confidential information may be disclosed where required by law or where necessary to protect legal rights.
10. Intellectual Property
Upon full payment, clients receive rights to use completed documents prepared specifically for their matter.
General legal knowledge, drafting methods, templates, processes, and know-how remain the property of Tonnie Kariuki Law.
11. Confidential Electronic Communications
We use reasonable measures to protect electronic communications.
However, no internet transmission method can be guaranteed to be completely secure.
12. Fiverr and Marketplace Clients
Clients who engage Tonnie Kariuki Law through Fiverr or other marketplaces are also subject to the applicable terms and policies of those platforms.
Platform communication, payments, revisions, and dispute procedures may be governed by the marketplace rules.
13. Limitation of Responsibility
Legal documents are prepared based on information provided by clients and the agreed scope of work.
Tonnie Kariuki Law is not responsible for losses arising from:
- Incorrect information provided by clients
- Failure to review documents
- Failure to obtain additional legal advice where appropriate
- Use of documents outside their intended purpose
14. Termination
Either party may terminate an engagement where permitted under the applicable agreement.
Clients remain responsible for payment for completed work and services already performed.
15. Governing Terms
These Engagement Terms shall be interpreted together with any specific engagement agreement, quotation, or service terms provided to the client.
